Samuel E. Whitley is a corporate finance and securities attorney with extensive experience in investment fund formation and compliance, public and private securities offerings, mergers and acquisitions, SEC reporting and compliance (including Sarbanes-Oxley Act and Dodd-Frank Act compliance), key business agreements, corporate governance, and litigation management.
During his career, Mr. Whitley has formed and advised dozens of hedge funds, private equity funds, venture capital funds, and real estate investment funds. He has also represented corporate issuers and underwriters in over $2.3 billion of securities offerings and financings. Mr. Whitley has also advised on mergers and acquisitions with $26.5 billion in transaction value.
As a result of his business and legal expertise, Mr. Whitley serves as outsourced general counsel to several public and private companies.
